Mozilla is open source, if that interests you, but it's a massive code
base.
You could also license asWedit, which is a dedicated Xwin HTML editor with
validation and all kinds of neat tricks, or you could hack one of the
tk-based HTML editors. I believe the free nedit (my favorite editor) has
syntax hiliting for HTML, but does not have a layout engine.
